Step 1

Having made a decision on inclusion in the Charter of the Company, prepare and hold a general meeting of the founders of the company. Indicate amendments to the constituent documents as one of the agenda items, justifying the need for such measures. The founders at their meeting will comprehensively consider this issue and, by voting, decide whether to amend the documents or not. In any case, the decision must be duly recorded in the minutes signed by the chairman and the secretary of the meeting.

Step 2

Based on the decision adopted by the meeting of founders, make the necessary changes to the text of the Charter, having previously checked how they correspond to the current legislation.

Step 3

In the tax authority at the location of the Company, take the application forms for changes to the fundamental documents of the organization. Complete the forms as required. The completed forms must be certified by a notary. Be prepared for the fact that you will have to pay a state fee for notarization.

Step 4

Prepare a package of documents, which should include the originals of the constituent documents of the Company; The charter containing the proposed changes; letters on the assignment of state statistics codes; certificate of making an entry in the Unified State Register of Legal Entities; passport data of the founders of the Company, its head and chief accountant.

Step 5

Submit the prepared package of documents to the tax authority to amend the Charter. Here you will also have to pay a fee. The law gives five days to register changes. After completing the formalities, the head of the Company receives the Charter with the changes registered in it. Now it is necessary to bring all the working documentation of the company in accordance with the new Charter, after which it is possible to continue the statutory activities permitted by law.
